I. Introduction

This Online Access Agreement ("Access Agreement") for accessing your Southbridge Savings Bank accounts through Bank N Pay explains the terms and conditions governing the Online banking services and bill pay offered through Bank N Pay. By using the Bank N Pay Services, you agree to the terms and conditions of this Access Agreement. This Online Access Agreement will be governed by and interpreted in accordance with Federal law and regulation and by the laws of the State of Massachusetts. The terms "we," "us," "our," "Southbridge Savings Bank," and "Bank" refer to Southbridge Savings Bank. "You" refers to each signer on an account. The term "business days" means Monday through Friday, excluding Federal, state and bank holidays.

 

Bank N Pay can be used to access Southbridge Savings Bank accounts. Each of your accounts at Southbridge Savings Bank is also governed by the applicable account disclosure statement (Deposit Account Agreement, Truth-In-Savings, Regulation E Disclosures and Fee Schedule).

 

 

II. Accessing Your Southbridge Savings Bank Accounts through Bank N Pay

A. Requirements

To access your accounts through Bank N Pay, you must have a Southbridge Savings Bank account and an online password.

 

B. Electronic Mail (E-mail)

Sending electronic mail (E-mail) through Bank N Pay is a way to communicate with the Bank. E-mail is provided for you to ask questions about your account(s) and provide general feedback. E-mail is accessible after you sign on with your password to a session of Bank N Pay. To ensure the security of your account information, we recommend that you use E-mail when asking specific questions about your account(s). You cannot use E-mail to initiate transactions on your account(s). For banking transactions, please use the appropriate functions within Bank N Pay.

 

 

C. Fees

There are no monthly or transaction fees for accessing your account(s) through Bank N Pay. See Section IV for a description of Bill Pay fees. Please note that fees may be assessed by your Internet Service Provider (ISP).

 

D. New Services

Southbridge Savings Bank may, from time to time, introduce new online services. We will notify you of any new services. By using these services when they become available, you agree to be bound by the rules communicated to you concerning these services.

 

E. Benefits of Using Bank N Pay

With Bank N Pay, you can manage your personal accounts from your home or office on your personal computer. You can use Bank N Pay to:

         View account balances and review transaction history.

         Transfer money between accounts. (As noted in the applicable account Deposit Account Agreement, Truth-In-Savings, Regulation E Disclosures and Fee Schedule).

         Pay bills to any merchant, institution or individual.

         Communicate directly with Southbridge Savings Bank through E-mail.

 

F. Computer Requirements and Information

Bank N Pay requires the use of certain software, a computer, an Internet Service Provider (ISP), a modem (at least 28,800 baud is recommended), and Browser software which supports 128 bit encryption, Secure Socket Layer 3.0 (SSL). For best results, we recommend Microsoft Internet Explorer 5.5 or higher, or Netscape Navigator 4.7 or higher. In this Agreement, the computer and modem you need to use the software are collectively referred to as your computer. You are solely responsible for the selection, installation, maintenance and operation of your computer. Your computer must be compatible with our operations in order to access your accounts or to use our bill pay service. We are not responsible for any errors or failures from any malfunction of your computer or your software, and we are not responsible for any computer viruses or related problems that may be associated with the use of Bank N Pay.

  

 

G. Copyright and Trademark Information.

Copyrights in the pages, screens and information appearing at the Site are owned by the Bank and is protected by U.S. and international copyright laws. The trademarks, logos and services marks (Marks displayed) are the property of the Bank. Users are prohibited from using any Marks or copyrighted material for any purpose without permission of the Bank and users are specifically prohibited from modifying, copying, transmitting, displaying, creating derivative works or using any content available for commercial or public purposes.

 

 

III. Terms and Conditions

The first time you access your Southbridge Savings Bank accounts through Bank N Pay you agree to be bound by all the terms and conditions of this Agreement and acknowledges your receipt and understanding of this disclosure. Before you use this service, you should read this Agreement and any other instructions we may send you.

 

A. Your Online Password

You will be given a temporary password that will give you access to your Southbridge Savings Bank accounts for Bank N Pay access. This password must be changed within Bank N Pay using the options button. We recommend that you change your password regularly. Southbridge Savings Bank will act on instructions received under your password. For security purposes, it is recommended that you memorize this online password and do not write it down. You are responsible for keeping your password, account numbers and other account data confidential.

 

B. Payment Account

Although there are no fees for accessing your accounts through Bank N Pay, you may be asked to designate a payment account for selected services. You agree to pay promptly all fees and charges for services provided under this Agreement, and authorize us to charge the account that you have designated as the payment account or any other account for the fees. If you close the payment account, you must notify Southbridge Savings Bank and identify a new payment account for the selected services. Additionally, if you close all Southbridge Savings Bank accounts, you must notify Southbridge Savings Bank Customer Service to cancel the Bank N Pay services. Your online access may be canceled at any time without prior notice due to non-compliance with the rules contained herein, abuse or improper use of your accounts. After cancellation, Bank N Pay services may be reinstated, once sufficient funds are available in your accounts to cover any fees and other pending transfers or debits. In order to reinstate your services, you must call Southbridge Savings Bank Customer Service at 1-800-939-9103. If you do not access your Southbridge Savings Bank accounts through Bank N Pay for any one (1) year period, Southbridge Savings Bank reserves the right to disconnect your service without notice. Please note that your bill payment information will be lost if you are disconnected.

 

You agree to be responsible for any telephone charges incurred by accessing your Southbridge Savings Bank accounts through Bank N Pay. If you wish to cancel any of the Bank N Pay services offered through Bank N Pay, please allow for a reasonable period of time to act upon your request and contact Southbridge Savings Bank Customer Service at 1-800-939-9103 between the hours of 7:30 AM to 7:00 PM Monday through Friday, 8:30 AM to 4:00 PM on Saturday and 10:00 AM to 2:00 PM on Sunday or send us cancellation instructions in writing by email to info@southbridgesavingsbank.com or mail to Southbridge Savings Bank, Attention: Operations Dept, 253 Main Street, Southbridge, MA 01550.

  

C. Our Liability

Except as specifically provided in this Agreement or where the law requires a different standard, you agree that neither we nor the Internet Service Provider shall be responsible for any loss, property damage or bodily injury, whether caused by the equipment, software, Southbridge Savings Bank, OR by Internet browser providers such as Netscape (Netscape Navigator browser) and Microsoft (Microsoft Explorer browser), OR by Internet Service Providers OR by an agent or subcontractor of any of the foregoing. Nor shall we or the service providers be responsible for any direct, indirect, special or consequential, economic or other damages arising in any way out of the installation, use or maintenance of the equipment, software, the Bank N Pay service(s), or internet browser or access software.

 Unless otherwise provided by statute, your sole remedy, financial or otherwise for any damage or claim arising out of any defect with the use of the Bank N Pay system shall be limited to reprocessing the affected data or transaction at no cost to you. We may terminate this agreement if you fail to comply with the terms and conditions of this Agreement.

 

D. Overdrafts: Order of Payments, Transfers, Other Withdrawals

If your account has insufficient funds to perform all electronic funds transfers (ATM withdrawals, pre-authorized transactions, Bank N Pay transfers and bill payments, etc.) that you have requested for a given business day, then the electronic funds transfers initiated through Bank N Pay may result in an overdraft of your account and may, at Southbridge Savings Bank's discretion, be canceled. In addition, you will be charged the same overdraft charges (see Fee Schedule) that apply to your account.

 

E. Hours of Accessibility

You can access your Southbridge Savings Bank accounts through Bank N Pay seven days a week, 24 hours a day. However, at certain times, some or all of Bank N Pay may not be available due to system maintenance. You will be notified online when this occurs. A transfer initiated through Bank N Pay before 12:00 Midnight on Monday through Friday is made available to your account the same day. All transfers completed after 12:00 Midnight on Monday through Friday will be posted on the next business day. All transfers completed on a Saturday, Sunday, or a federal, state or banking holiday, will be posted on the next business weekday. Our business days are Monday through Friday, excluding Federal, State and Bank holidays.

 

F. Additional Terms and Conditions

Obtaining Account Balance and Transaction History - You can obtain balance and transaction history on all eligible accounts. Current balance and activity information is available.

 

Transferring Funds - The number of transfers from a savings account is limited as described in the applicable Deposit Account Agreement, Truth-In-Savings, Regulation E Disclosures and Fee Schedule. If a hold has been placed on deposits made to an account from which you wish to transfer funds, you cannot transfer the portion of the funds held until the hold expires.

 

Transfers or bill payments are limited to the amount available in your account or by your overdraft limit.

 

INITIATION OF CERTAIN ELECTRONIC FUND TRANSFERS FROM THE CONSUMERS ACCOUNT WILL, EXCEPT OTHERWISE PROVIDED IN THE AGREEMENT, EFFECTIVELY ELIMINATE THE CONSUMERS ABILITY TO STOP PAYMENTS OF THE TRANSFER.

UNLESS OTHERWISE PROVIDED IN THIS AGREEMENT, YOU (CONSUMER) MAY NOT STOP PAYMENT OF ELECTRONIC FUND TRANSFERS, THEREFORE YOU SHOULD NOT EMPLOY ELECTRONIC ACCESS FOR PURCHASES OR SERVICES UNLESS YOU ARE SATISFIED THAT YOU WILL NOT NEED TO STOP PAYMENT.

  

 

 

IV. Bill Pay Service

 

A. Using the Service

The Bank N Pay Payment Service allows you to schedule bill payments through Bank N Pay. You can schedule, at your option, for the payment of your current, future and recurring bills from any of your Southbridge Savings Bank accounts. There is no limit to the number of bill payments that may be authorized (account restrictions may apply, please refer to you Deposit Account Disclosure). You may pay any merchant or individual through the use of Bank N Pay. We are unable to process any payment of taxes, payroll, court-directed payments, and payments to any federal, state or municipal agency through Bank N Pay Payment Services. By furnishing us with the names of payees/merchants, you authorize us to follow the payment instructions to these payee/merchants that you provide us through Bank N Pay. When we receive a payment instruction (for the current or a future date), we will remit funds to the payee on your behalf from the funds in your selected checking account. When Bank N Pay receives a payment instruction, you authorize it to charge your checking account and remit funds on your behalf so that the funds arrive as close to the business day designated by you as reasonably possible. While it is anticipated that most transactions will be completed on the exact day designated, it is understood that due to circumstances beyond the control of Bank N Pay, particularly delays in handling and posting payments slow-responding companies or financial institutions, some transactions may take a day or even a few days longer. For this reason, it is recommended that all payments and transfers be scheduled to at least (7) seven business days before the actual due date, not the late date. Bank N Pay will use its best efforts to process all your payments properly. However, Bank N Pay shall incur no liability if it is unable to complete any payments initiated by you through Bank N Pay payment services because of the existence of any one or more of the following circumstances:

1.      Your account does not contain sufficient funds to complete the transaction or the transaction would exceed your overdraft limit;

2.      The Bank N Pay processing center is not working properly and you know or have been advised by the service about the malfunction before you execute the transaction;

3.      You have not provided Bank N Pay with the correct names or account information for those persons or entities to whomever you wish to direct payment; or

4.      Circumstances beyond the Bank N Pay's control such as, but not limited to, fire, flood, or interference from an outside force that would prevent the proper execution of the transaction, Bank N Pay has taken reasonable precautions to avoid those circumstances.

 

You have the right to stop or change any scheduled payment. You must cancel the payment one (1) business days prior to the Payment Date, by using the STOP function on the Bank N Pay "Payments then Schedule Payments" screen or by notifying the Bank by calling Customer Service at 1-800-939-9103 between the hours of 7:30 AM to 7:00 PM Monday through Friday, 8:30 AM to 4:00 PM on Saturday and 10:00 AM to 2:00 PM on Sunday or send us cancellation instructions in writing by email to info@southbridgesavingsbank.com or mail to Southbridge Savings Bank, Attention: Operations Dept, 253 Main Street, Southbridge, MA 01550.

 

Southbridge Savings Bank reserves the right to terminate your use of Bank N Pay bill payment service in whole or part, at any time without prior notice.

 

If, for any reason, you should ever wish to cancel Bank N Pay bill payment services, we strongly suggest that you cancel all future bill payments at the same time that you cancel your service, either by deleting those payments yourself using Bank N Pay or calling Southbridge Savings Bank's Customer Service at 1-800-939-9103. This will ensure that future payments and transfers made by you will not be duplicated. We will automatically delete all outstanding payment orders (all individual payments and all recurring payments) once we have been notified that your service has been terminated. We will continue to maintain your accounts until you notify us otherwise.

 

B. Bill Pay Fees

There is not a monthly fee for using our Bill Payment service. 

Additionally, you agree to pay any special charges in effect as announced by the Bank from time to time. These charges are in addition to the fees and service charges specified in your applicable checking, savings, overdraft protection account agreements (for example, uncollected or overdraft charges on your checking account). If the payment account has insufficient funds to cover fees, the Bank will deduct the fee from any account linked to Bank N Pay (in any order we may choose). If the fee cannot be paid, we may cancel your Bill Pay service. After cancellation, your Bill Pay service may be reinstated by contacting Southbridge Savings Bank Customer Service once sufficient funds are available in your payment account to cover the bill payment fees and any other pending transfers or debits.

 

V. General Terms

 

A. Changes to Charges, Fees or Other Terms

We reserve the right to change the charges, fees or other terms described in this Agreement. However, when changes are made to any fees, charges or other terms that would result in a greater cost or liability to you or decrease your access to your accounts, we will notify you Online, or send a notice to you at the address shown on our records, or send you an electronic mail message (E-mail). The notice will be posted or sent at least thirty (30) days in advance of the effective date of any such change unless an immediate change is necessary to maintain the security of the system or your account. If such a change is made, it becomes permanent and it can be disclosed without jeopardizing the security of the system, we will provide you with electronic or written notice within thirty (30) days after the change. As always, you may choose to accept or decline changes by continuing or discontinuing the accounts or services to which these changes relate. We also reserve the option, in our business judgment, to waive, reduce or reverse charges or fees in individual situations. Changes to fees applicable to specific accounts are governed by the applicable Deposit Account Agreement, Truth-In-Savings, Regulation E Disclosures and Fee Schedule. By accepting this agreement you consent to receiving electronic disclosures in lieu of written disclosures.

B. Disclosure of Account and Electronic Funds Transfer Information

 In order that your privacy is protected, we will not disclose any information about you or your account to any person, organization or agency except:

(a) for certain routine disclosures necessary for the completion of a transfer or bill payment;

(b) for verification of the existence and condition of your account for a credit bureau or merchant;

(c) to persons authorized by law in the course of their official duties;

(d) to our employees, auditors, service providers, attorneys or collection agencies in the course of their duties;

(e) pursuant to a court order or lawful subpoena;

(f) to a consumer reporting agency as defined in Massachusetts General Laws, Chapter 93; or

(g) by your written authorization which shall automatically expire 45 days after receipt of the authorization. If an unauthorized disclosure has been made, we will inform you of the particulars of the disclosure within three days after we have discovered that an unauthorized disclosure has occurred.

C. Additional Information Required by Massachusetts Law

(1) Any documentation provided to the consumer which indicates that an electronic fund transfer was made to another person shall be admissible as evidence of such transfer and; shall constitute prima facie proof that such transfer was made.

(2) Unless otherwise provided in this agreement, you (the consumer) may not stop payment of electronic fund transfers, therefore you should not employ electronic access for purchases or services unless you are satisfied that you will not need to stop payment

In case of questions or errors about Bank N Pay funds transfers through Bank N Pay involving your account, here is what you should do:

         Write Southbridge Savings Bank at 253-257 Main Street, PO BOX 370, Southbridge, MA 01550-0370, as soon as you can if you think your statement or transaction record is wrong, or if you need more information about a transaction listed on the statement or transaction record

         We must hear from you as soon as a problem or question is discovered. If you notify us verbally, we may require that you send us your complaint or question in writing within ten (1O) business days. If we do not receive your request in writing you may not receive provisional credit.

         Tell us your name and account number

         Describe the error or the transaction you are unsure about, and explain why you believe it is in error or why you need more information.

         Tell us the dollar amount of the suspected error.

         For a bill payment, tell us the checking account number used to pay the bill, payee name, date the payment was sent, payment amount, reference number, and payee account number for the payment in question.

 

Here's what we will do:

 

We will tell you the results of our investigation within ten (10) business days, after we hear from you and will correct any error promptly. If we need more time, however, we may take up to forty-five (45) business days (90 days if the transfer involved a new account, a point of sale or a foreign-initiated transfer) to investigate your complaint or question. If we decide to do this, we will provisionally credit your account within ten (10) business days for the amount you think is in error, so that you will have the use of the money during the time it takes us to complete our investigation. If we ask you to put your complaint or question in writing and we do not receive it within ten (10) business days, we will not provisionally credit your account. We will tell you the results within three business days after completing our investigation. If we decide that there was no error, we will send you a written explanation. You may ask for copies of the documents that we used in our investigation.

 

If we do not complete a transfer to or from your Southbridge Savings Bank account or electronic fund transfer on time or in the correct amount according to our agreement with you when properly instructed, we will be liable for your losses or damages. However, there are some exceptions; we will not be liable, for instance:

         If, through no fault of ours, you do not have enough money in your account to make a transfer;

         If a legal process, encumbrance or order that prohibits withdrawals from the account;

         If your account is closed or if it has been frozen;

         If the transfer would cause your balance to go over the credit limit for any credit arrangement set up to cover overdrafts;

         If you, or anyone you allow, commits any fraud or violates any law or regulation;

         If any electronic terminal, telecommunication device or any part of the electronic fund transfer system is not working properly and it is known to the consumer;

         If you have not provided us with complete and correct payment information, including without limitation the name, address, account number, and payment amount for the payee on a bill payment;

         If you have not properly followed the instructions for using Bank N Pay; or

         If circumstances beyond our control prevent the transfer, despite reasonable precautions taken by us.

 

E. Disclaimer of Warranty

You acknowledge that it is not possible for our services to be totally free from operator, programming or equipment error, and that errors in processing and compiling data may occasionally occur. As such, you agree to review and verify all results and to maintain adequate controls for insuring both the accuracy of data transmissions and the detection of errors. You agree to maintain adequate backup files of the data you submit for a reasonable period of time in order to facilitate any needed reconstruction of your transactions. If we are unable to provide this service for any reason, we will inform you of the problem ands will take reasonable steps to resume processing.

 

We make no warranties with respect to Bank N Pay nor do we warrant that Bank N Pay will meet specific requirements.

 

TO THE EXTENT PERMITTED BY LAW, WE MAKE NO WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, WITH RESPECT TO THE USE OF BANK N PAY. WE DISCLAIM ANY AN ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

 

F. Other General Terms

Other Agreements - In addition to this Agreement you agree to be bound by and will comply with the requirements of the applicable Deposit Account Agreement, Truth-In-Savings, Regulation E Disclosures and Fee Schedule, the Bank's rules and regulations, the rules and regulations of any funds transfer system to which the Bank belongs, and any and all applicable State and Federal laws and regulations. We agree to be bound by them also.

 

If any provision of this Agreement is found to be unenforceable according to its terms, all remaining provisions will continue in full force and effect. The headings in this Agreement are for convenience or reference only and will not govern the interpretation of the provisions. Any waiver, express or implied, by either party of any default or breach of this Agreement must be in writing and shall not constitute a waiver of any other subsequent default or breach. You may not assign this Agreement. This Agreement is binding upon you and Southbridge Savings Bank, its successors and/or assigns. Certain of the obligations of the parties pursuant to this Agreement that by their nature would continue beyond the termination, cancellation, or expiration of this Agreement shall survive termination, cancellation, or expiration of this Agreement. This Agreement constitutes the entire Agreement between you and Southbridge Savings Bank with respect to the subject matter in this Agreement and there are no understandings or agreements relative to Bank N Pay and Bill Pay Service, which are not fully expressed herein. We may at any time amend this Agreement as permitted by law. Bank N Pay will be governed by the Agreement as amended.

 

Southbridge Savings Bank reserves the right to terminate this Agreement and your access to Bank N Pay, in whole or in part, at any time without prior notice.

 

ANY documentation provided to you by the Bank that indicates that a transfer was made is admissible as evidence of the transfer and is prima facie evidence that the transfer was made.

 

VI. Protecting Your Account

 

A. Preventing Misuse of Your Account

Your role is extremely important in the prevention of any wrongful use of your account. You must promptly examine your statement upon receipt. If you find that your records and ours disagree, you must immediately call Southbridge Savings Bank Customer Service at 1-800-939-9103.

 

Protecting Personal Information - In addition to protecting your account information, you should also take precautions to protect your personal identification information, such as your driver's license, Social Security Number, etc. This information by itself or together with information on your account may allow unauthorized access to your account(s). It is your responsibility to protect personal information with the same level of care that you protect your account information.

 

Taking Care of Your Online Password - The password that is used to gain access to Bank N Pay should also be kept confidential. For your protection we recommend that you change your Online password regularly. It is recommended that you memorize this Online password and do not write it down.

 

Southbridge Savings Bank does not ask for personal or financial information via email. If you receive an email or pop-up message that requests this type of information, do not reply or click on the link in the message. If you are concerned about your account, contact Southbridge Savings Bank by calling 1-800-939-9103, or open a new Internet browser session and type www.southbridgesavingsbank.com. In any case, do not cut and paste the link in the message.

 

You are responsible for keeping your password, account numbers and other account data confidential. If you believe that your Online password may have been lost or stolen, or that someone has transferred or may transfer money from your account without your permission, notify Southbridge Savings Bank Customer Service at once at 1-800-939-9103 between the hours of 7:30 AM to 7:00 PM Monday through Friday, 8:30 AM to 4:00 PM on Saturday and 10:00 AM to 2:00 PM on Sunday.

 

B. Unauthorized Transactions in Your Southbridge Savings Bank Accounts

Notify us immediately if you believe another person has improperly obtained your Online password. Also notify us if someone has transferred or may transfer money from your account without your permission, or if you suspect any fraudulent activity on your account. Only reveal your account number to a legitimate entity for a purpose you authorize (such as your insurance company for automatic payments). To notify us, call Southbridge Savings Bank Customer Service at 1-800-939-9103 between the hours of 7:30 AM to 7:00 PM Monday through Friday, 8:30 AM to 4:00 PM on Saturday and 10:00 AM to 2:00 PM on Sunday, email us at info@southbridgesavingsbank.com or write Southbridge Savings Bank, 253 Main Street, Southbridge, MA 01550 or notify us in person at one of branch locations.

If your Online password has been compromised and you tell us of the loss or theft, you can lose no more than $50 if someone used your Online password without your permission to access a Southbridge Savings Bank deposit account. If your statement indicates withdrawals, transfers or purchases that you did not make or authorize, please notify us immediately.
